Licensing

Once customer has fully paid for the bot, the customer is granted following rights:

  • Right to use the bot for personal or organisational purposes.
  • Right to access, view, modify and compile the source code including making derivative works
  • Right to host the bot on their own servers or other hosting environments.
  • Right to integrate the bot into their commercial products or discord servers provided the bot itself is not sold or marketed as a commercial product without additional written agreement Customer may not:
  • Resell, sublicense or distribute the Bot or its source code as a standalone product.
  • Make the source code publicly available like open source it or provide other means of access without written permission from developer.
  • Allow usage of the bot in third party servers.

The parties may negotiate expanded commercial rights separately if needed.

Managed subscription License

Alternative to fully buying the bot you can enter a 12 month subscription for the bot where you pay monthly to access the bot and we handle everything for you. After the year you can convert to normal license or continue subscription license. Automatic conversion can be agreed upon during purchase

This includes

  • Basic maintenance of the bot
  • Hosting of the bot
  • Full access to the features of the bot
  • Support and monitoring of the health of the bot You don't get:
  • Access to source code
  • Normal license rights

You can at any point during subscription pay for additional months in front or pay all of the months in advance to get option to transition to normal license. After 12 months the subscription is converted to monthly subscription and you can choose to at any point move to normal licensing.

The right to move to normal license doesn't apply if you have bought subscription license to a existing bot. For existing bots the subscription is always a monthly subscription which can be cancelled at any time.

Cancellation/termination

The customer is liable to pay for the 12 month period once contract has been entered unless local law requires us to provide different terms. Customer can at any point pay rest of the subscription months to convert to normal license.

Setup fee

In case the bot is a existing bot and requires modifications we charge this upfront. If the bot is a new one we charge smaller amount specified during negotiations upfront.

Non payment and breaches in contract

In case customer doesn't pay we reserve the right to shut down the bot after 14 days and after 30 days we reserve the right to terminate the contract. In case of other breaches of contract we also reserve the rigtht to terminate the contract. In case we terminate the contract any remaining obligations on either side are considered full filled. Customer isn't provided source code, data or anything else related to the bot.

Exclusivity of the bot

Unless the parties have agreed in writing to a exclusive license or ownership transfer, the Developer retains the right to:

  • License, sell or reuse the Bot or parts of the bot or other customers
  • Develop derivative versions of the Bot
  • Use the same logic, features, architecture or non proprietary components in other commercial or private projects.

The Customer’s Full License grants rights to use and modify their copy of the Bot, but does not grant exclusivity by default.

If the Customer desires exclusivity (e.g., no resale or reuse to others), this must be agreed separately and may incur additional cost.

Portfolio Rights

Unless otherwise agreed in writing, the Developer retains the right to:

  • Display the Bot, technical details, or screenshots
  • Mention the Customer’s project as part of the Developer’s portfolio
  • Describe the work for marketing or demonstration purposes

No confidential or identifying customer information will be published.

Payment methods

We accept following payment options by default with no additional fees

  • Debit and credit cards
  • Paypal

Upon request, we can also accept a wide range of alternative payment options, such as bank transfers or cryptocurrencies. These alternative methods may incur an additional handling fee to cover the increased cost or administrative effort required to process them.

We usually charge 25-50% deposit of project cost depending on the scale of the project before any work will begin. This deposit is part of the payment for the bot

Refunds

Refunds/cancellation Before Delivery

If the Customer cancels the project before final delivery, they are responsible for paying:

  • All work completed to date
  • Any reasonable costs incurred for refunds, third-party fees, or administrative handling
  • In case of a subscription payment option any work done is deducted from initial payment. In cases where it doesn't cover the cost customer isn't charged for the work. In cases where there is money left its refunded with any cost of refund deducted.

Upon full payment, the Customer may request access to all work completed so far with license of this contract. This doesn't apply to subscription payment option.

Refunds After Delivery

Once the Bot has been delivered, refunds are generally not provided.

If the delivered Bot is faulty or does not meet the agreed specifications, the Customer may report issues within a 14 day period following delivery. During this period, the Developer will:

  • Fix any bugs or defects
  • Make necessary adjustments to ensure the Bot matches the agreed specifications

Above period also applies to customers who bought existing bot

If certain issues cannot be fully resolved, the Developer reserves the right to provide a partial refund, with the amount determined proportionally to the severity and scope of the unresolved issues.

After the 14-day adjustment period, no refunds will be issued, and all remaining obligations under the contract are considered fulfilled. The licensing terms will still apply.

Termination by developer (no cause)

Before delivery

If the Developer terminates the contract for reasons unrelated to any Customer breach before the Bot is fully delivered, the Customer may choose one of the following options:

  1. Receive the work completed so far and pay only for the work that has been done up to the termination date.
  2. Receive a refund for the project.

After delivery

if the Developer terminates the contract after delivery for reasons unrelated to the Customer:

  1. The Customer retains license and can use the bot of the delivered Bot.
  2. Any remaining obligations of the Developer (support, maintenance, updates) cease immediately.
  3. Refunds are not provided for work already delivered unless required by law.

Termination by developer (Cause)

Customer Delays

If the Customer fails to provide required responses, approvals, assets, or other essential information within 5 business days, the Developer may:

  • Pause the project until the Customer responds
  • Extend the delivery timeline accordingly
  • Charge reasonable restart or delay fees if delays are repeated or significant

If delays continue or prevent project completion, the Developer may terminate the contract. In such cases:

  • The Customer must pay for all work completed up to the termination date
  • No refunds will be provided for delays caused by the Customer

Breach of Terms

If the Customer materially breaches the contract (licensing violations, misuse of delivered code, or abusive conduct), the Developer may terminate the contract immediately and withdraw license rights in which case the customer must cease using the bot and its source code in 7 days unless the breach has been remediated. In cases of legal disputes or other legal issues the 7 day grace period doesn't apply.

Timelines

Upon agreement, the Customer will be presented with a projected timeline for Bot development.

  • A 1 week grace period is included to account for unforeseen delays.
  • If the delivery timeline extends beyond the grace period, the Developer and Customer may agree on a new delivery date, or the Customer may choose to cancel the project, resulting in contract termination.
  • Customer-caused delays such as failing to provide design specifications, assets, or approvals are not counted toward the delivery timeline and will move the delivery date forward accordingly.
  • Extended delays caused by the Customer may incur additional fees or adjustment to the timeline at the Developer’s discretion.

Scope of Work

The functionality, features, and commands of the Bot will be defined in a technical document agreed upon prior to the start of development. This document will include:

  • A list of commands and their intended purpose
  • Basic descriptions of feature behavior and structure

Flexibility during development

  • If, during development, an issue arises that makes a feature impractical or impossible to implement within the agreed cost, the Developer may propose adjustments or alternatives.
  • The Customer may choose to remove or modify such features without incurring additional costs. If modification is would be considerably more or less work it will change the overall price of the bot.
  • Any agreed changes will be documented in writing and may adjust timelines accordingly.

Warranty

the bot comes with 14 day period where bug fixes, support with setup of the bot and smaller changes can be requested. After this period we have no obligation to provide further support but we usually will provide basic non priority support with resolving issues with the bot. Bug fixes and other changes we charge for.

Governing law

This contract is government by Finnish laws. In cases where the jurisdiction requires the contract to be government by different laws any part of this contract that's not enforceable shouldn't void this contract and rest of the contract should stand.
